    1. Introduction

    These Terms & Conditions govern your use of the TRM FLEX platform operated by TRM Flex Ltd ("we", "us", "our"). By accessing or using our platform, you agree to be bound by these terms.

    2. Platform Model

    TRM FLEX is an integrated event operations platform. The platform provides event management tools, a workforce marketplace, supplier coordination, ticketing, email communications, financial controls, and AI-assisted workflows. Within the workforce marketplace, we act solely as an intermediary and are not an employer, employment agency, or employment business.

    We do not employ workers, process payroll, collect National Insurance numbers, or deduct tax. Workers using our marketplace are responsible for their own tax affairs and legal compliance.

    3. User Accounts

    • You must provide accurate and complete information when creating an account
    • You are responsible for maintaining the security of your account credentials
    • You must notify us immediately of any unauthorised access to your account
    • We reserve the right to suspend or terminate accounts that violate these terms

    4. Platform Usage

    You agree not to:

    • Use the platform for any unlawful purpose
    • Misrepresent your identity or qualifications
    • Interfere with or disrupt the platform's operation
    • Attempt to gain unauthorised access to any part of the platform
    • Use automated systems to access the platform without permission
    • Circumvent the platform to make direct arrangements that avoid platform fees

    5. Platform Modules & Fees

    TRM FLEX includes multiple integrated modules. Access to modules depends on your active plan and licence type. Usage-based fees apply as follows:

    • Workforce Marketplace: Per-role hourly rates displayed when creating shifts, charged against your prepaid wallet
    • Supplier Marketplace: Commission fee applied to supplier bookings made through the platform
    • Ticketing: A percentage fee on gross merchandise value (GMV) of ticket sales
    • Email Marketing: Plan-inclusive send limits with overage charges for additional sends
    • AI Features: Plan-inclusive request limits with overage charges for additional usage

    Specific rates and percentages are displayed within the platform and on our pricing page. Module pricing is subject to change with 30 days' written notice.

    6. No Guarantee of Work or Workers

    We do not guarantee that workers will find shifts or that clients will find available workers. Shift bookings made with less than 5 working days' notice are provided on a best-efforts basis without guaranteed fulfilment.

    7. Verification & Compliance

    We conduct identity and right-to-work verification for workers. We reserve the right to audit attendance data and investigate any suspected fraud, impersonation, or misuse of the platform.

    8. AI Features Disclaimer

    Certain platform features use artificial intelligence to assist with document classification, brief parsing, proposal generation, and reporting. AI outputs are provided on an advisory basis only. We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs. You retain full responsibility for decisions made using AI-assisted features.

    9. Limitation of Liability

    To the maximum extent permitted by law:

    • We are not liable for any indirect, incidental, or consequential damages
    • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
    • We are not responsible for the actions or conduct of workers, clients, or suppliers
    • We do not guarantee the quality, reliability, or suitability of any worker, client, or supplier
    • We are not liable for the performance, delivery, or quality of services provided by suppliers booked through the platform

    10. Force Majeure

    We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, government actions, pandemics, or technical failures.

    11. Suspension & Termination

    We may suspend or terminate your access to the platform at any time for violation of these terms, suspected fraud, or any other reason at our discretion. Upon termination, your right to use the platform ceases immediately.

    12. Intellectual Property

    All content, features, and functionality of the platform are owned by TRM FLEX and are protected by copyright, trademark, and other intellectual property laws. Your data remains your property; by using the platform you grant us a licence to process it for the purpose of delivering our services.

    13. Changes to Terms

    We reserve the right to modify these terms at any time. Continued use of the platform after changes constitutes acceptance of the modified terms.

    14. Governing Law

    These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
